Die Ein-Personen Gesellschaft ist in Planung

Da in der Europäischen Union mittlerweile von 12 Millionen Gesellschaften mit beschränkter Haftung fast die Hälfte ( 5.2 Millionen) nur einen einzigen Gesellschafter haben, soll es in Zukunft eine Einpersonengesellschaft mbH geben. Diese neue Rechtsform, die sogenannte „Societas Unius Personae“ abgekürzt SUP, soll einfach und unbürokratisch gegründet werden und nach dem Willen der EU, die Beschränkungen der Niederlassungsfreiheit weiter abbauen.

Ebenfalls sollen dadurch bürokratische Hemmnisse und hohe Gebühren für die Unternehmen reduziert werden. Interessant ist, dass der Sitzstaat, also dort wo die SUP registriert ist, nicht zwingend der Staat sein muss, in dem die Hauptverwaltung ihren Sitz hat oder wo die Geschäftsausübung stattfindet.

Die Gründung einer SUP soll einfach sein und Online erfolgen können. Das Gründungskapital soll bei einem Euro liegen.

Seit dem 22.01.2016 gibt es eine neue Vorlage der EU. Es bleibt zu hoffen, dass der Prozess in Gang kommt und sich für 2016 eine Lösung abzeichnet, so dass die SUP schon bald zu einer guten Alternative für potentielle Unternehmer wird.
